Moving a Contract to Executed Status
A contract is considered complete when it reaches either the Signed or Managed stage.
A contract enters the Signed stage once all parties have completed signing.
After required post-execution information is entered, the contract moves to the Managed stage.
Once in either stage, the contract appears on the Executed Contracts page.
Visibility by Role
Contract Manager, Viewer, and Viewer Plus can view all executed contracts (except Private contracts).
Chief Negotiators see only contracts they initiated or were invited to.
Admins do not have visibility to executed contracts.
Uploading Executed Contracts
You need the Contract Manager role to perform this action.

Click + New Contract in the top right of the Executed contracts page.
- Fill out the contract form, including all required fields.
- Click Save.

Click Upload Executed Document and select the document(s).
After upload:
The contract stage automatically changes to Signed.
The Post-Execution Information panel opens on the right.
Completing Post-Execution Information
To move the contract to the Managed stage:

Enter required and optional post-execution fields, including:
Signed/Effective Date
Expiration Date
Auto-renew dates
Configure alerts and add email notifications for upcoming events.
Click Save.
The contract is now in the Managed stage, and CLM begins tracking dates and sending notifications.
Adding Users to Executed Contracts
You can add users to an executed contract if you'd like them to be notified of the contract's expiration.
- Find the executed contract.

Click the info icon at the top of the page.

Add, remove, or replace a user who will be notified of the contract's expiration.
- Add the expiration date in the Expiration Date field.
- Select the notification lead time in the Notification field.
- Enter the email address(es) of the user(s).
- Optional: Add other custom notification events. If selected, follow the same process for your custom event (add expiration date, user to be notified).
Uploading Executed Documents to an In-Progress Contract
If a contract was signed outside CLM but started in CLM:
- Click Sign to initiate the signature process.
- Click Sign Manually.
- Click Start to download the signing version.

Click Complete sign in the top-right corner.
- Select the document(s).
- Click Complete.
Your document is in the Sign stage. Notice that the sign banner underneath the document title now has a check mark next to it.
Because CLM maintains audit trail and metadata, you must upload the fully executed external document:
- Click +New Document.

Click Upload Executed Documents.

Complete the Post-Execution information, including all required fields.
- Click Save.
Using AI Extraction on a Signed Contract
If your organization has AI Extraction, you can autofill Post Execution information from a document of a signed contract.
Your organization must have CounselLink+ and AI Extraction enabled. Contact your account manager to learn more about enabling this feature.

Click Extract Information at the top of the Contract Overview page.
Only one document can be extracted per contract.
A confirmation window displays. Page usage is shown in the lower left corner.
- Click Yes. The extraction begins. The Extracting badge will appear at the top of the contract.

Once complete, extracted fields display in purple with the AI logo. The extraction count displays at the top of the page or the top of the Post-execution tab.

Optional: Click the Source link above a field to highlight the place(s) in the document where the information was sourced.
The textual source of extracted fields can be highlighted on PDF source documents only. Highlighting is unavailable for .docx source documents.

Click Save once all required fields are complete. The Saved to Managed window displays.
- Review the field data. Click See more on longer clauses to view the full information.
- Place a checkmark by the box to confirm you approve the extracted data.
- Click Yes.
The fields are recorded, and the AI icons no longer display in the Contract Info area. You can still view the AI source icon at the top, which indicates that extraction was used on the document.
